Terms & Conditions
These terms govern your engagement with Kindrix and set out the scope, responsibilities, and governing provisions that apply to our consulting work together.
Definitions
In these Terms and Conditions, the following terms carry the meanings given below:
- "Agreement" means these Terms and Conditions together with any written engagement letter or service proposal accepted by both parties.
- "Kindrix" / "We" / "Us" / "Our" means Kindrix, a business consulting practice registered and operating in Singapore at 2 Shenton Way, #18-06, Singapore 068804.
- "Client" / "You" / "Your" means the individual, organisation, or entity engaging Kindrix for consulting services.
- "Services" means the consulting engagements described in Clause 3, offered by Kindrix.
- "Deliverables" means written reflections, annotations, session records, or other written outputs produced by Kindrix as part of an engagement.
- "Engagement Letter" means any written proposal, service description, or scope document exchanged and accepted between Kindrix and the Client.
- "Confidential Information" means any information shared by either party during the course of an engagement that is not publicly available.
Acceptance of Terms
By engaging Kindrix — whether through a written inquiry, signed engagement letter, payment, or commencement of a session — you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
- You must be at least 18 years of age and have the legal capacity to enter into a binding agreement under applicable Singapore law.
- If you are engaging on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.
- These Terms apply to all engagements unless a separate written agreement expressly supersedes specific provisions.
Service Description
Kindrix offers three consulting engagements designed for senior leaders and executives:
- Reading Room Hour (SGD 200) — A ninety-minute session followed by a written reflection delivered within seven days. Suited for a single matter of current concern to the leader.
- Annotated Review (SGD 690) — A four-week annotated engagement reviewing a specific document or proposal. Includes two discussion sessions and a written annotation of the document.
- Archive Companion Engagement (SGD 1,275/month × 9 months) — A nine-month working relationship for chief executives, including monthly sessions, a written record, and availability between sessions.
Services are available to clients based in Singapore and internationally, subject to scheduling and availability. Kindrix reserves the right to decline engagements at its discretion.
Client Responsibilities
To allow Kindrix to deliver its work with appropriate care, the Client agrees to:
- Provide accurate and complete information relevant to the engagement.
- Make themselves reasonably available for scheduled sessions and discussions.
- Submit any documents or materials required for review in advance of agreed timelines.
- Engage in good faith and with a genuine intent to reflect on the subject matter.
- Treat all communications and written materials from Kindrix as confidential, not to be shared beyond the engagement without written consent.
- Refrain from using Kindrix's name, advice, or outputs in a misleading or reputationally harmful manner.
Intellectual Property
All written reflections, annotations, frameworks, and materials produced by Kindrix in the course of an engagement remain the intellectual property of Kindrix until full payment has been received, at which point a limited, non-exclusive, non-transferable licence is granted to the Client for their personal or internal organisational use.
- Clients may not reproduce, distribute, or publish Kindrix's Deliverables without prior written consent.
- Documents and materials provided by the Client remain the property of the Client.
- Kindrix retains the right to reference the nature and type of engagements undertaken for portfolio purposes, without disclosing identifying details of any Client.
Payment Terms
All fees are denominated in Singapore Dollars (SGD) and are inclusive of any applicable taxes unless otherwise stated in writing.
- Reading Room Hour: Payment of SGD 200 is due prior to the session date.
- Annotated Review: Payment of SGD 690 is due prior to commencement of the review period.
- Archive Companion Engagement: Monthly instalments of SGD 1,275 are due at the commencement of each calendar month of the engagement.
- Payment methods accepted include bank transfer and such other methods as Kindrix may advise in writing.
- Sessions will not commence until payment has been confirmed. For ongoing engagements, sessions will not proceed in months where payment has not been received by the due date.
- Refunds: Kindrix does not offer refunds for sessions attended or documents reviewed. Where a session has not yet taken place, a written request for cancellation submitted at least five business days in advance may be considered at Kindrix's discretion.
Engagement Terms
The following terms apply to all consulting engagements:
- Session scheduling is arranged by mutual agreement and is subject to Kindrix's availability.
- Written Deliverables (reflections, annotations, records) are provided as thinking partnership outputs and do not constitute professional legal, financial, medical, or regulatory advice.
- The scope of each engagement is defined by the service description and any agreed Engagement Letter. Requests that fall outside scope may be declined or quoted separately.
- Kindrix will exercise reasonable care and professional judgement in all work. The quality and depth of each engagement depends in part on the openness and preparation of the Client.
- All sessions are conducted in English unless otherwise agreed in writing.
- Session notes and written records are shared with the Client and retained by Kindrix in confidence.

Kindrix provides consulting and advisory thinking partnership services. The following disclaimers apply:
- Services are provided as a reflective and considered thinking partnership. Kindrix does not hold professional qualifications in law, medicine, or finance and does not provide advice in those regulated fields.
- Kindrix makes no representation that any particular business outcome will result from an engagement.
- Kindrix's written materials and annotations are offered as a thinking partner's perspective and are not editorial, legal, or binding in nature.
- To the extent permitted by law, Kindrix provides its services without warranty of any kind, express or implied.
Limitation of Liability
To the fullest extent permitted by applicable law:
- Kindrix's total liability to the Client for any claim arising from or in connection with an engagement will not exceed the total fees paid for that specific engagement.
- Kindrix will not be liable for indirect, consequential, special, or punitive damages, including loss of profits, loss of business, or loss of opportunity, whether or not such damages were foreseeable.
- Kindrix will not be held liable for circumstances beyond its reasonable control, including illness, natural events, or other force majeure circumstances.
Indemnification
The Client agrees to indemnify and hold harmless Kindrix, its principals, and associates from and against any claims, losses, damages, or costs (including reasonable legal fees) arising from:
- The Client's misuse of Deliverables or written materials;
- Any third-party claims resulting from the Client's actions taken following or arising from the engagement;
- Any material misrepresentation made by the Client during the engagement.
Termination
Either party may bring an engagement to a close under the following conditions:
- By the Client: Written notice of at least ten business days. Fees for work already completed or sessions already held remain payable.
- By Kindrix: Written notice of at least ten business days, with a proportionate refund of prepaid fees for work not yet commenced.
- Kindrix reserves the right to terminate an engagement immediately and without refund if the Client engages in conduct that is harmful, threatening, or materially dishonest.
- Clauses relating to confidentiality, intellectual property, limitation of liability, and dispute resolution survive the termination of any engagement.
Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore.
- Informal Resolution: In the first instance, both parties agree to attempt to resolve any dispute through direct written correspondence within 20 business days of the dispute arising.
- Mediation: If informal resolution is not achieved, the parties may refer the matter to mediation at the Singapore Mediation Centre before commencing formal proceedings.
- Jurisdiction: The parties submit to the exclusive jurisdiction of the courts of the Republic of Singapore for the resolution of any dispute that cannot be resolved through the above process.
General Provisions
- Entire Agreement: These Terms, together with any signed Engagement Letter, constitute the entire agreement between the parties and supersede all prior discussions or understandings.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure by either party to enforce any right under these Terms does not constitute a waiver of that right.
- Assignment: The Client may not assign their rights or obligations under these Terms without prior written consent from Kindrix. Kindrix may assign its obligations to a suitably qualified associate with written notice to the Client.
- Notices: Notices under these Terms should be addressed in writing to the email address provided at the time of engagement. Notices to Kindrix may also be sent to [email protected].
Changes to These Terms
Kindrix may revise these Terms from time to time. The revised version will be published on this page with an updated effective date. For ongoing engagements, material changes will be communicated directly in writing with at least 14 days' notice. Continued engagement following the effective date of a change constitutes acceptance of the revised Terms.
